ABL advises Premier Investments on landmark retail transaction with Myer

Arnold Bloch Leibler ABL advises Premier Investments on landmark retail transaction with Myer website

Arnold Bloch Leibler is pleased to be advising Premier Investments on the $1 billion combination of its Apparel Brands business with Myer.

This breakthrough transaction will see Myer acquire Premier’s Apparel Brands business, which includes Just Jeans, Jay Jays, Portmans, Dotti and Jacqui E, in exchange for Premier being issued 51.5% of the shares in Myer.

The transaction is being led by Corporate and M&A partner Jeremy Leibler and senior associate Ari Bendet, with assistance from lawyers Ryan Taylor, Joel Chester and Dominic Fajardo. A cross-practice team of other partners and lawyers from Arnold Bloch Leibler are advising on specific aspects, including property, employment, competition, regulatory advice and tax.

They include:

  1. Property: Gia Cari (partner) and Grace Cho (senior associate)
  2. Employment and Workplace Advisory: Bridget Little (partner), Anna Sapountsis (senior associate), Julia Heyward (lawyer) and Edwina Lu (lawyer)
  3. Competition and Regulatory: Zaven Mardirossian (partner) and Gabriel Sakkal (partner)
  4. Tax: Clint Harding (partner) and Danielle Ou (lawyer).

In Premier Investment’s ASX announcement, chairman Solomon Lew said: “This is an opportunity for our team and our shareholders to play an important role in the future of the Australian and New Zealand retail landscape. Myer and our Apparel Brands will be stronger together – delivering vertical integration, scale, additional margins and loyalty opportunities.”
